Terms of Service

By registering for or using VriddhiQ, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to these Terms and our Privacy Policy.

If you are using VriddhiQ on behalf of a family unit (adding minor members, managing multiple broker accounts), you confirm that you are authorised to do so on behalf of those individuals.

VriddhiQ provides the following features to registered users:

• Import of trade history from supported brokers (Zerodha, AngelOne, Kotak Securities, Groww)
• FIFO-based capital gains computation for equity delivery, intraday, and F&O trades
• ITR-ready Schedule CG summaries (LTCG / STCG / F&O / Intraday)
• Portfolio tracking with open lot management
• Carry-forward loss simulation (STCL, LTCL, F&O, Intraday)
• Tax scenario calculator for what-if sale simulations
• Minor income clubbing under Section 64(1A) of the Income Tax Act, 1961

The Service is provided as a computation and organisational tool only. We do not file ITRs on your behalf, provide legal or tax advice, or guarantee the accuracy of any figure shown.

VriddhiQ is not registered with SEBI as an Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013. The Service does not:

• Provide personalised investment recommendations
• Advise you to buy, hold, or sell any security
• Manage your investments or act as a portfolio manager
• Predict future returns or market performance

The Tax Scenario Calculator (“Harvest” feature) is a scenario computation tool. It shows the estimated tax impact of hypothetical sales based on your data. It is not a recommendation to sell any holding. All investment decisions are yours alone.

All tax figures, gain/loss calculations, and ITR summaries shown by VriddhiQ are estimates based on data you import or enter. Accuracy depends on:

• Completeness and correctness of your imported trade history
• Accuracy of buy dates for holdings imported with estimated dates
• Applicable tax rules, which may change via Finance Acts or CBDT circulars
• Individual circumstances not captured in the tool (e.g. grandfathering under Sec 112A, bonus/split adjustments)

VriddhiQ is not liable for any tax demand, penalty, or interest arising from figures used from this platform. Always verify with a qualified Chartered Accountant or tax professional before filing your ITR.

By using the Service, you agree to:

• Provide accurate, complete information about yourself and your trades
• Keep your account credentials confidential and not share access
• Use the Service only for lawful purposes and in compliance with applicable Indian law
• Not attempt to reverse-engineer, scrape, or copy the Service
• Not use the Service to process data belonging to others without their authorisation
• Promptly update your data if you become aware of errors (e.g. incorrect buy dates)

Communications. By creating an account, you consent to receive transactional emails necessary to operate the Service — including email verification, password reset, payment receipts, billing notices, security alerts, and material changes to these Terms or the Privacy Policy. These are not marketing emails and cannot be unsubscribed from while your account is active; deleting your account ends all communication.

You must not use VriddhiQ to:

• Violate any applicable law or regulation, including the Income Tax Act, SEBI regulations, or FEMA
• Facilitate tax evasion or misrepresentation of income to tax authorities
• Transmit malware, spam, or any harmful code
• Attempt to gain unauthorised access to other users’ data
• Resell, sublicense, or commercialise access to the Service without written permission

We reserve the right to suspend or terminate accounts that violate these prohibitions without notice.

VriddhiQ processes the data you provide or import. You are solely responsible for the accuracy of your trade data. Common issues that affect accuracy include:

All content, software, design, and code comprising VriddhiQ is owned by or licensed to us and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your trade data and financial records remain yours. We claim no ownership over data you import into or generate within VriddhiQ.

We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, or events beyond our control.

We reserve the right to modify, suspend, or discontinue any feature at any time. We will provide reasonable notice of material changes that affect your data or access.

VriddhiQ is offered on the following plans:

Paid subscriptions are billed annually in advance and renew automatically at the end of each billing period unless cancelled. All payments are processed by Razorpay; we do not store your card details.

Founding-member pricing

Subscribers who activate a paid Family plan before 1 August 2026 are placed on the Family (founding) plan at ₹999 / year. The founding subscription runs for three annual billing cycles in total— the initial year plus two renewals, all at ₹999 / year. After the third successful charge the subscription ends automatically; to continue using a paid Family plan the user must resubscribe at the prevailing standard rate (₹1,499 / year). From 1 August 2026, new sign-ups are placed directly on the Family (standard) plan at ₹1,499 / year. Add-on member pricing (₹149 vs ₹199 / member / year) follows the same founding / standard split.

Taxes

VriddhiQ Technologies is not currently registered under the Goods and Services Tax (GST). Prices listed above are the total amount payable — no GST is charged or collected. If we cross the GST registration threshold in future, we will notify users at least 15 days before any GST is added to renewals.

Refunds — 7-day window

You may request a full refund within 7 days of the initial payment for any paid plan, for any reason. Email support@vriddhiq.com from your registered email — refunds are processed back to the original payment method within 5–10 business days. Refunds are not available for renewals after the 7-day window from that renewal’s charge date, or for prorated mid-cycle changes.

Cancellation

You may cancel auto-renewal at any time from Profile → Billing. After cancellation, your paid features remain active until the end of the current billing period; thereafter the account reverts to the Free plan. Your data is never deleted on cancellation or expiry— all transactions, family members, and historical computations remain visible. Only write actions and paid features (additional brokers, F&O, prior years, CSV export) are gated.

Failed payments

If a renewal payment fails, we will retry per Razorpay’s standard schedule and notify you by email. The account moves to past due status during retries; if payment is not recovered, the account reverts to Free at the end of the current period.

Price changes

We may change pricing for new sign-ups at any time. For existing paying subscribers, any price increase will be communicated by email at least 30 days before it applies to your next renewal, giving you the opportunity to cancel before the new price takes effect.

To the maximum extent permitted by applicable law, VriddhiQ and its operators shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Tax demands, penalties, or interest arising from your use of the Service
• Loss of data due to accidental deletion, technical failure, or force majeure
• Losses arising from market movements or investment decisions made using the Service
• Inaccuracies in broker-exported files that result in incorrect computations

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim (or ₹500 if the Service was used free of charge).

You agree to indemnify and hold harmless VriddhiQ and its operators from any claims, damages, or expenses (including legal fees) arising from your use of the Service in violation of these Terms, applicable law, or the rights of any third party.

You may delete your account at any time from Profile → Danger Zone → Delete account. All your data will be permanently deleted immediately.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide notice where legally permitted and practically possible.

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 15 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

The effective date at the top of this page always reflects the most recent version. Prior versions are available on request.

These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

Before initiating legal proceedings, we encourage you to contact us at support@vriddhiq.com — most issues can be resolved quickly and informally.

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control — including but not limited to outages of upstream providers (Supabase, Vercel, Razorpay, Resend), internet or telecommunications failures, denial-of-service attacks, acts of government, regulatory changes, natural disasters, fire, riot, war, or pandemic. During such events, our obligations are suspended for the duration of the event, and we will resume performance as soon as reasonably practicable.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or struck if modification is not possible. The remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VriddhiQ regarding your use of the Service. They supersede any prior agreements, communications, or representations (whether oral or written) on the same subject. No waiver of any provision shall be effective unless in writing and signed by us, and no waiver shall constitute a continuing waiver of that or any other provision.
